These LuminaChain Terms of Service together with the Web Site Privacy Policy, available at privacy.html, the Platform Privacy Policy available at privacy.html, and any other product specific agreement (collectively, the "Agreement") by and between LuminaChain Ltd. and any of its affiliates ("LuminaChain"), and the entity using any of LuminaChain's content and services ("You" or "Customer") govern the terms under which you may access and use the data, content, output, and services provide to you through the LuminaChain website, platform and Services ("Content" and "Services" as applicable).

If you are accepting this Agreement on behalf of your employer or another entity, you represent and warrant that you have the legal authority to bind your employer or the applicable entity to this Agreement. You or your employer may have entered into a written agreement with LuminaChain which governs the use of the Services. In such case, such agreement takes precedence over this Agreement.

You may not access or use the Content and Services or accept this Agreement if you under 18 years old.

By clicking your acceptance to the Agreement, or by using the Services you acknowledge that you have read and agree to be bound by the terms and conditions of the Agreement. If you do not agree with all the provisions of this Agreement, do not access or use the Services.

YOU MAY NOT USE OR ACCESS THE SERVICES IF YOU ARE A DIRECT COMPETITOR OF LUMINACHAIN UNLESS EXPLICITLY AGREED BY LUMINACHAIN IN WRITING. FURTHERMORE, YOU MAY NOT USE OR ACCESS THE SERVICES FOR BENCHMARKING OR ANY OTHER COMPETITIVE PURPOSE.

1. THE SERVICE

LuminaChain provides a lead generation platform ("Platform") which enables our customers to achieve quality business outcomes, including prospecting leads, customer understanding, market analysis and predictive modelling.

All Content is provided for informational purposes only and you are solely responsible for verifying the accuracy, completeness, and applicability of all Content and for any use of any Content.

2. CHANGES TO THE SERVICE

The Content and Services or any part may be changed, updated, added to, limited or terminated, at any time, temporarily or permanently, without notice or reason by LuminaChain in its sole discretion ("Updates"). You agree to bear the risks of and hold LuminaChain harmless for any and all effects that the Updates may have on you and your ability to use the LuminaChain Services, in whole or in part.

3. REGISTRATION

You may need to set up an account in order to use some of the Services. When you are setting up your account, you must give us accurate and complete information. You are responsible for maintaining the security of, your account, passwords, and for all uses of your account with or without your knowledge or consent. You agree to notify LuminaChain immediately upon learning of any unauthorized use of your account or any other breach of security of your account.

4. PAID SERVICES

In addition to any Content and Services available for no charge through the LuminaChain Web Site, you may be offered the opportunity to purchase, subscribe to, or otherwise obtain access to certain Content and Services for an additional fee. Any purchase or subscription will be subject to the terms and conditions displayed in connection with the specific purchase or subscription, or in a specific Order Form as applicable to the service, in addition to the terms of this Agreement. If there are any discrepancies between the specific agreement of any paid service or this Agreement the specific agreement shall prevail.

Subscription plans will offer different lead packages for different fees. Unless otherwise specified in the applicable subscription plan, all leads expire at the end of the subscription term and do not roll over to the next subscription term. No refund will be provided for any unused leads. Leads are consumed according to the consumption rate available here.

5. INTELLECTUAL PROPERTY

The Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and all Intellectual Property Rights related thereto, are the exclusive property of LuminaChain and its licensors. Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any materials or content accessible on the Services.

6. PRIVACY

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Services, to understand our practices.

7. LIMITATION OF LIABILITY

IN NO EVENT SHALL LUMINACHAIN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
